Synergies
Revenue or cost benefits attributed to the combined entity that would not exist standalone.
Cost synergies (organisational overlap, procurement leverage, shared infrastructure) are easier to underwrite than revenue synergies (cross-sell, geographic expansion, accelerated roadmap). Diligence pressure-tests both, and the deal model usually only credits the underwriteable cost synergies at full value, applying a haircut to revenue synergies.
