QoE (Quality of Earnings)

Financial diligence workstream that normalises reported EBITDA into a defensible run-rate number.

QoE strips out non-recurring items, owner add-backs, accounting policy quirks, and timing distortions to produce an 'adjusted EBITDA' the buyer can underwrite a multiple against. A high-quality QoE has documented evidence for every adjustment and tests management's pro-forma assumptions against transactional data — invoices, contracts, headcount.
